Business Names
All business name applications and forms can now be sent to the CRO's Carlow address - CRO, O'Brien Road, Carlow.

File RBN3 online
It is now possible to file form RBN3 online using CORE. Form RBN3 is the form to cease a business name. Form RBN3 has no filing fee.
Proposed Day of Industrial Action - 24 NOVEMBER 2009
A day of industrial action has been signalled by unions representing public sector workers for next Tuesday 24th November 2009. In the event of this industrial action proceeding on Tuesday 24th November, the Companies Registration Office regrets that it will not be possible to provide service to the public at the CRO public office at Parnell House, 14 Parnell Square in Dublin, as the public office will be closed for the day.
If the industrial action goes ahead on Tuesday next it will remain possible on that day for companies or their agents to file documents with the office online or to hand deliver hard copy documents to the Dublin office through the post box at the front door of Parnell House building and the post box at the CRO office at O’Brien Road, Carlow.
CERTIFICATION FULL AUDITED ACCOUNTS
Full Audited Accounts may be certified in two ways
(1) an overall certificate may be given under section 18(5) of the 1986 Companies (Amendment) Act; stating that the Auditor's Report is a true copy of such report. This Certificate is to be signed by a director and the secretary not being the same individual. Original signatures only.
(2) The Auditor's Report may be signed by the Auditor and the Balance sheet, Profit and loss Account and any other documents signed by two directors. Original signatures only.
Please Note: Only full accounts may use the overall certification procedure. In case of Audited Abridged accounts the Balance sheet must be signed by two directors. Original signatures only.
Audited exempt accounts must be signed under the audit exempt statement on the balance sheet by two directors. Original signatures only.

ROS (Revenue Online Signature) Electronic Signature
It is now possible for Electronic Filing Agents (EFAs) to sign a B1 in CORE with a ROS (Revenue Online Services) electronic signature. This possibility will only be visible where the person verifying the contents of the form is an Electronic Filing Agent. At the moment it is only possible to sign B1's in CORE in this way. We plan to extend the facility to the other forms in CORE in the near future.

Reserving a Company Name
This service is only available online at www.core.ie. Registration with CORE is free. The name can be reserved for 28 days and the cost of this application is €25.00, which can be paid in advance by credit card or charged to your account in the CRO. If this is presented within the 28 days specified the incorporation fee will be reduced by the €25.00. See Reserve Company Name page for more information. You can check the suitability of a company name using this facility for free.
Obtaining a Duplicate Certificate Online
Duplicate Certificate for Public Sector Use Only. This short duplicate certificate of incorporation can be submitted to the Revenue Commissioners when renewing your liquor licence.You can also order a free duplicate certificate of business registration by choosing 'business name' and entering your business registration number.
Obtaining a Duplicate Certificate with Original Signature
1. Call in to the public office at 14 Parnell Square, Dublin 1, where you can obtain a short certificate (no previous names on the certificate). Occasionally it is not possible to generate a long certificate (showing all previous names) at the time of the request. In these cases the certificate will be available in two to three working days and may then be collected or posted to the customer.
2. Write in to Postal Enquiries, Companies Registration Office, Parnell House, 14 Parnell Square, Dublin 1, stating the company/business name and number (if available). Where applicable, please indicate if you want the duplicate cert to show any previous company names.
3. If you hold an account with the Companies Registration Office, you can e-mail your request to mailto:postalenquiries@entemp.ie. Please state your account number, authorisation for deduction from your account and whether or not the cert is to be posted to you or will be collected.
The fee for a Duplicate Certificate is €12.

Form 12 Prechecks
Due to staff shortages, the CRO can no longer guarantee that staff will be available to check Form 12's (Form E1) at all times during the day. Therefore to ensure that the CRO can continue to provide an efficient service, pre-checking of Form 12's (E1) will now be available from 10.00am to 12.30pm and from 2.30pm to 4.30pm only. Companies (Amendment) Act 2009
The Companies Amendment Bill 2009 has passed through all stages of the Oireachtas. The Companies (Amendment) Act 2009 has been signed by the President as of the 12th July.
This action had the effect of changing the citation of the Companies Acts to "1963 to 2009". This citation should henceforth appear on all copies of Memoranda and Articles of association filed with the CRO. In addition, the appropriate annotation in the auditors’ report and in financial statements signed on or after 12th July 2009 should be the "Companies Acts, 1963 to 2009".
Crodisk users, where necessary on the A1 form, should cross out "Irish" and replace with "EEA", and cross out "2003" and replace with "2009".
This citation should henceforth appear on all copies of Memoranda and Articles of association filed with the CRO.
Application for Voluntary Strike-off
The requirements for requesting a Voluntary Strike-Off are changing. The letter requesting Voluntary Strike-Off is being replaced by the Form H15. From Monday 20th July, the CRO will only accept requests for Voluntary Strike-Off on Form H15. A letter of no objection from the Revenue Commissioners is still required to be attached to the Form H15, as well as the copy of the advertisement. There is no filing fee for this form. Completed H15’s must be sent to O’Brien Road, Carlow.

Irish Resident Director Rule
The Companies Amendment Bill 2009 has been passed through all stages of the Oireachtas. The entire Act will take effect as soon as it has been signed by the President.
Section 10 of the Act changes the requirement that at least one of the directors be resident in the State. For this purpose the "State" has been changed to "Member State of the EEA" (European Economic Area). The EEA is all of the EU plus Iceland, Norway and Liechtenstein. That means that a company all of whose directors are resident in, say, the UK, will not require a bond or certificate of a real and continuous link with one or more activities in the State.
The necessary changes are currently being made to both the online and downloadable forms. Crodisk users, where necessary on the A1 form, should cross out "Irish" and replace with "EEA". For more information please view Company Officers.

Scheme Official Languages Act 2003
Both the CRO's and the RFS' scheme under section 11 of the Official Languages Act 2003 has been added to the Corporate Publications page on the website and comes into effect as of 26th May 2009.
Business Continuity Planning
Mary Coughlan, Tánaiste and Minister for Enterprise, Trade and Employment, has re-launched a Guide to help businesses prepare business continuity plans for a 'flu pandemic. The Tánaiste is urging all business owners and managers to give serious consideration to the advice contained in the Guide and to use the checklist in their business planning preparations. The Business Continuity Guide
is available from the Department's website. The associated checklist to assist businesses in the planning process is available separately also.
Consultation on Cooperative Legislation
The Industrial and Provident Societies Acts, which apply mainly to co-operative societies, are being reviewed in connection with the Governments Better Regulation Programme.
Views are invited from the public concerning the operation of the current legislation. To assist persons wishing to make a submission, a consultation paper has been prepared. You can view the consultation paper

Industrial Dispute
In the event that the National Strike goes ahead on 30 March the following disruption to services will occur. The Enquiries and Cash Office in Parnell Square will not be open. No call centre or help desk phones will be answered. Similar arrangements will apply in the Registry of Friendly Societies. If the Office is closed and the deadline for filing an annual return or the accounts attached to an electronically filed annual return, falls on 30 March 2009, those documents will be considered filed on time if they are delivered to the CRO by 31 March 2009.
Early posting of documents to the CRO is strongly recommended to allow for any possible disruption to postal services. Delay in the post does not constitute grounds for a late penalty waiver and it is CRO policy never to waive the late filing fees in such circumstances unless the company can provide independent documentary proof of having posted the documents using a form of time guaranteed service, which shows that the document was posted on a date which should have guaranteed on-time delivery in the CRO. I regret any inconvenience caused.

Call centre phones and helplines will not be answered. It will also not be possible to provide the Fast Track Restoration facility.
Further service difficulties can also be expected. Documents can still be hand delivered to the CRO Office through the post-boxes at 14 Parnell Square and O'Brien Road Carlow. Similar arrangements will apply to the Registry of Friendly Societies. I regret any inconvenience caused.

Format for Newspaper Advertisement - Voluntary Strike-Off
Applicants for voluntary strike-off
should note that with effect from 1st February 2009, the following requirements will apply in respect of the advertisement which must be inserted into a newspaper as part of the application process.
Where the advertisement is published within one year after the company has changed its name, the former name as well as the existing name of the company must be included in the advertisement. Where the advertisement is published within one year after the company has changed its registered office, the former registered office as well as the existing registered office must also be included in the advertisement.
Any business name being used by the company or which was used by it during the 12 month period prior to the date of publication of the advertisement must also be included in the advertisement.
Form Consultation
The CRO is reviewing its forms to improve their user-friendliness and thus help minimise errors made by presenters. Forms being reviewed are the external company forms (F1- F14) and forms regarding shares - forms B6 and B7. Please see Form Consultation page. (link removed).
