The fast track restoration facility will be available as normal from 10.30am and 12 noon on the 29th, 30th and 31st December.

Because of the disruption caused to services over the holiday period, annual returns, where the deadline for filing falls between 24th December 2010 and 3rd January 2011, will be treated as received on time if filed by 4th January 2011.

Requirement to sign and date auditors’ reports from 1 January 2011

CRO wishes to advise companies and presenters that as and from 1 January 2011, CRO will be strictly enforcing the statutory requirement that all auditors’ reports must be signed and dated.

In respect of filings received by CRO on or after 1 January, an auditor's report which does not comply with the requirement to be signed and dated will be returned to the presenter for correction in accordance with Section 249A of the 1990 Companies Act.

Electronic Signatures with the form B1

An entirely electronic system for filing annual returns with signed accounts is available for the first time at the CRO. The digital signing certificate is already used by companies filing their Corporation Tax returns via the Revenue Online Service (ROS). The CRO has introduced it as an add-on option to its annual return "B1" e-form.For more information on digital signing go to Digital Signing Certificate.

Submitting PDF accounts with the form B1

The Companies Registration Office has recently introduced a facility that allows customers to upload a pdf version of their Annual Accounts to accompany their Electronic B1 Annual Return form. This facility is as simple to use as attaching a document to an email. The customer will have the choice of converting an existing electronic version of their accounts to pdf or scanning a hard copy version of the accounts and saving them as a pdf. The CRO cannot guarantee that submissions received after the dates set out below will be processed before the Christmas break.

Change in Procedure for deficient or incomplete B1's received in CRO

A new administrative procedure has been introduced at the CRO's Public Counter in Parnell House to deal with annual returns and attachments (including accounts) that are identified as being deficient or incomplete. There has also been a change of procedure in regard to "send back" letters issued by the CRO. For more information please see Ezine Issue 89.

FAST-TRACK Company Restoration - CRO Filing Fees can no longer be paid by Cheque

CRO finds that a growing number of dishonoured cheques are being used to pay filing fees and penalties for Fast Track Company Restorations. In order to address this serious problem, as and from 1st December 2010, CRO will no longer accept payment by cheque or Payment Authorisation Forms for filing fees (including penalties) arising in respect of Fast-track Company Restorations.

Payment of filing fees (including penalties) in Fast-track restoration cases must in future be made by Bank Draft/Postal/Money Order or, as a Fast-track application requires personal attendance at the CRO Public Office Counter in Parnell Square, payment of filing fees may also be made in cash.

Prosecutions

On 11th October 2010 the CRO prosecuted 45 Companies in the Dublin District Court for failure to file a total of 58 annual returns. A total of 30 companies in respect of 42 overdue returns were convicted and fines amounting to €54,100 were imposed and costs awarded in respect of these companies.

15 companies in respect of 16 overdue returns had their cases adjourned and these will be heard in February 2011. It is proposed to prosecute an additional 50 companies on that date.

Site Issues 6th and 7th October 2010

We began experiencing issues with a number of services from approximately 4pm on Wednesday 6th October. As a result of this, the Company Search website, Auditor Search, and CORE had to be temporarily taken offline. All services are working normally again.

Problems with Document/Image Purchases

8th September 2010 - The CRO is experiencing some technical difficulties with the Company Search Facility. Documents purchased (images, company printouts) are not transmitting via email. We hope to rectify the situation shortly and apologise for any inconvenience caused.

Investment Company Legislation

Provision is made in Section 3(j) of the Companies (Miscellaneous Provisions) Act 2009 (No. 45 of 2009), amending the Companies Act 1990, to allow certain types of collective investment undertakings from prescribed jurisdictions apply for incorporation by way of continuance in Ireland as an investment company within the meaning of Part XIII of the 1990 Act, as amended. The relevant jurisdictions for this purpose are: Bermuda, British Virgin Islands, Cayman Islands, Guernsey, Jersey and the Isle of Man.

New Submission Type on CRO Register - "HC Order charging shares of shareholder"

A number of court actions have recently been heard in the Commercial High Court, the result of which have been High Court Orders charging shares held by third parties in certain companies ("Charging Orders") in favour of the Plaintiff to the proceedings (in each case to date, a banking institution). These Charging Orders have included a direction that the Plaintiff's solicitors serve on the Registrar of Companies a copy of the High Court Order, as well as a direction that the Registrar place a copy of the Charging Order on the public file of the company/ies whose shares, held by a third party or parties, are the subject matter of the Charging Order.

The purpose of the Judge's direction is to alert all interested parties as to dealings concerning the shares of the company/ies in question, which shares are held by shareholder(s) who is/are subject to the Charging Order.

The Charging Orders do not involve a charge over the assets of the company itself, but concern the shares of a shareholder or shareholders in that company. The Charging Orders are accordingly designated "HC Order charging shares of shareholder". Whenever any such order is delivered to the CRO, it is accorded the status of "Received", and is then scanned and made available for public inspection as if it were a submission filed under the Companies Acts.

Solicitors furnishing such orders to the Registrar of Companies should ensure that an office copy of the order is forwarded without delay for the attention of :

Note that no filing fee applies to such Charging Orders as they are submitted on foot of a Court Order rather than in compliance with a filing obligation under the Companies Acts.

Company Prosecutions

On 17th May 2010, the CRO prosecuted 47 Companies in the Dublin District Court for failure to file a total of 68 annual returns. A total of 17 companies in respect of 26 overdue returns were convicted and fines amounting to nearly €9000 were imposed, and costs awarded , in respect of these companies.

20 companies in respect of 34 overdue returns had their cases adjourned and these will be heard in October. It is proposed to prosecute an additional 50 companies on that date.

Companies experiencing trading difficulties

The Companies Registration Office (CRO) is aware that some companies are currently facing trading difficulties. The legal obligation to file an annual return and accounts still exists in such circumstances and there are severe consequences if this is not complied with, including late filing penalties, loss of audit exemption, involuntary strike-off and possible prosecution. The late filing penalty and requirement to file audited accounts are legally applicable notwithstanding a plea of economic hardship and the CRO is not in a position to waive these sanctions on that basis. Rectification of the Register

The CRO regularly receives requests for correction of registered documents. The onus is on a company and its officers when completing a statutory submission to ensure that documents submitted to the CRO pursuant to the Companies Acts are fully, accurately and properly completed. Fast Track Restoration

Please note the times where a company can avail of the Fast-track process for restoration. The company officer must present himself/herself to the CRO cashier (in the Public Office in Parnell House) between 10.30 and 12 noon only. There is no fast-track facility in the afternoons.

Form H5, Return by a company purchasing its own shares and/or shares in a holding company has been updated by Companies (Forms) Regulations 2010. (S.I. 101 of 2010). The form now has a second page dealing with purchases of shares on recognised overseas stock exchanges. Link to Forms Page H. Prescribed Overseas Exchanges are: the London Stock Exchange, the New York Stock Exchange and the market known as Nasdaq operated by Nasdaq Stock Market per Companies (Recognised Stock Exchanges) Regulations 2010). S.I. 100 of 2010. Old copies of the form will continue to be accepted.

CRO Website issues

Users of the CRO Website may have experienced a number of issues since we went live with our new website. Some users may still be seeing a "not-found" error when trying to access certain parts of the site. We are working to resolve the issue.

From the evening of Thursday 25th to 11am on Friday 26th February, customers who purchased documents with their credit cards may have received a page which informed them that their credit card transaction did not go through successfully. Users will not be charged for these transactions. We have fixed this issue and users will no longer receive such a message.

We would like to assure customers that these issues pose no security threat to users' data.

The CRO apologises to customers affected by these issues.
