Digital Certificates of Incorporation of a Company Name

Certificates of Incorporation of a Company Name are issued as “digitally certified” documents.

When efiling on CORE, presenters should ensure that the email address they enter in the field “Company email address” is the correct email address to which they wish to receive the emailed Digital Certificate. Following registration the presenter will receive an email with the heading “ Certificate of Incorporation for (Company Name inserted )” which will contain the Digital Certificate as a pdf document. This email will also contain links to the notice on filing of the first annual return, to information leaflet 16 on The Company Secretary and to a guide to Directors-their duties and powers. These documents are for the information of the directors and secretary of the new company, and are currently sent in hard copy accompanying the Certificate of Registration to presenters.

There will be no change to the existing filing procedure to register a company.

The format of the Certificate of Incorporation will not change and the new Digital Certificates will contain all of the information currently displayed in the paper Certificates. The signature of the officer registering the company on behalf of the Registrar will appear on the Digital Certificate.

The Digital Certificates contain the following security features:-
The pdf document will contain a coloured banner at the top of the screen to confirm that it has been digitally signed as certified by the CRO. This provides an assurance to the recipient that the document is authentic, has not been tampered with and has been independently verified as sourced in CRO. Globalsign who provide this software, have likened the digitally certified document as the electronic equivalent of adding a notarised, wet ink signature. Presenters can provide these digital certificates directly to third parties such as banks and other financial institutions by email as required.
